The role and responsibilities of a volunteer Editorial Advisory Board Member include:
- Review articles and provide direction and oversight of ASA content posted online to ASA director.
- Communicate to ASA director any issues or problems with content that has been published based on your specific expertise and provide a revision to the content.
- Provide ideas for potential articles
- Provide feedback to ASA director as appropriate
- Optional – provide articles and content to ASA
Agreement of Editorial Advisory Board Member
The term limit for a board position is four years with option to renew at the end of each term. This is a volunteer, unpaid position. Either party may terminate this agreement with written notice to the other party at any time. Term automatically renews if neither party terminates the agreement in writing.
Advisory board members do not have decision making powers or voting authority. Recommendations are subject to review and approval by the company’s board of directors. All ideas, improvements, works of authorship and other forms of intellectual property that the Advisor conceives or develops during the term of the Agreement and contributes to ASA, will be the property of the ASA. Advisor hereby assigns to ASA all right, title and interest in and to the work product and all intellectual property rights therein. Advisor Acknowledges and agrees that Advisor shall not be eligible for any benefits or compensation from ASA. Advisor will indemnify and hold harmless ASA and its employees, and agents from and against any and all liabilities, losses, damages, costs, and other expenses (including attorneys’ and related costs and fees) arising from or relating to any breach of representations, warranty, covenant, or obligation of Advisor in this Agreement or any intentional misconduct or negligence by Advisor. In no event will ASA be liable for any consequential, indirect, exemplary, special, or incidental damages arising from or relating to this agreement. Advisor represents, warrants, and covenants that (i) neither the work product nor the services will infringe or misappropriate any intellectual property right of any person or entity; (ii) Advisor has not and will not grant any right or interest in the work product to any person or entity other than ASA, (iii) the work product is not subject to any lien, encumbrance, or other restriction on its transfer, (iv) Advisor has the full power and authority to enter into this agreement; (v) Advisor will comply with all laws in performing its obligations under this agreement.
Certification of Anti-Kickback Statute Compliance. Each member certifies that it will comply with the Anti-Kickback Statute, set forth at 42 U.S.C. § 1320a-7b(b) (“Anti-Kickback Statute”) and related federal or state health care program requirements, and represents and warrants that if they performs function with corporate partners on behalf of ASA, that they shall complete at least one hour of training regarding the Anti-Kickback Statute, including examples of arrangements that potentially implicate the Anti-Kickback Statute.
